BLACK AG Terms of Service Agreement

Terms of Service and Participation Agreement for all BLACK AG (Black Women In Ag, Black Men In Ag, and any of its affiliates Official Zoom Calls, Trainings, Meetings, Events, and Digital Programs.

Terms of Service and Participation Agreement governs participation in official BLACKAG INC. Zoom calls, virtual meetings, trainings, webinars, ambassador meetings, planning sessions, educational sessions, digital events, and related online programs.

By registering for, attending, speaking during, presenting at, promoting, or participating in any BLACKAG INC. Zoom call or virtual program, the participant agrees to follow the terms, policies, procedures, confidentiality expectations, intellectual property rules, promotional approval requirements, and participation standards outlined in this agreement, and ce of Terms the participant acknowledges that they have read, understood, and agree to be bound by this agreement. Participation may include, but is not limited to: Attending a BLACKAG Zoom call, speaking during a call,

Hosting or co-hosting a call, serving as an ambassador, panelist, trainer, instructor, volunteer, or presenter,

Posting, sharing, or promoting BLACKAG-related information, using BLACKAG materials, forms, links, images, logos, documents, slides, recordings, or digital resources, communicating with participants obtained through BLACKAG programs. Participation in BLACKAG INC. calls and programs is a privilege, not a right. BLACKAG INC. reserves the right to approve, deny, suspend, remove, or restrict participation at any time when conduct, communication, promotion, or activity conflicts with the mission, brand, safety, integrity, or business interests of BLACKAG INC.

Participants must conduct themselves professionally and respectfully at all times. Participants agree not to:

Harass, intimidate, threaten, bully, or disrespect other participants. Disrupt meetings or interfere with the purpose of the call. Share false, misleading, harmful, or unauthorized information. Use BLACKAG calls to promote unrelated personal business without permission. Solicit attendees for outside groups, programs, services, products, or events without written approval. Record, screenshot, copy, download, or distribute meeting content without authorization.

Misrepresent their role, authority, relationship, or affiliation with BLACKAG INC. Use BLACKAG’s name, likeness, brand, database, member list, or materials for unauthorized personal, commercial, political, or organizational gain.

Required Promotion Pre-Approval: All promotions during BLACKAG Zoom calls, BLACKAG events, BLACKAG programs, BLACKAG ambassadors, BLACKAG trainings, BLACKAG partners, or BLACKAG participants must receive prior written approval from BLACKAG INC. This includes, but is not limited to: Flyers, Social media posts, Email announcements. Text message promotions. Event pages. Registration links. Press releases.

No participant, ambassador, speaker, volunteer, or third party may create or distribute promotional materials using BLACKAG’s name, logo, brand identity, photographs, event names, program names, or participant information without written approval.

BLACKAG INC. may approve, deny, revise, delay, or revoke promotional approval at its discretion.

Approval must be received in writing. Verbal conversations, casual text messages, or attendance on a Zoom call do not automatically grant permission to promote BLACKAG-related content.

Copyright and Intellectual Property Ownership: All BLACKAG INC. materials, including but not limited to written content, guides, slides, videos, recordings, training materials, forms, graphics, event concepts, program structures, curriculum, databases, logos, templates, digital downloads, presentations, photographs, meeting agendas, scripts, and organizational materials, are the intellectual property of BLACKAG INC. unless otherwise stated in writing.

Participants agree that they will not: Copy BLACKAG materials. Reproduce BLACKAG content. Sell or resell BLACKAG materials. Modify BLACKAG materials for outside use. Share BLACKAG documents outside approved channels. Upload BLACKAG materials to public websites or platforms. Use BLACKAG content to create competing programs, trainings, guides, groups, events, or organizations. Claim ownership of BLACKAG-created content.

Remove copyright notices, watermarks, logos, or attribution. Use BLACKAG recordings, screenshots, or meeting content without written permission. All rights are reserved by BLACKAG INC.

No part of any BLACKAG INC. program, training, meeting, document, slide deck, call recording, digital material, database, event concept, or written content may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, sold, licensed, modified, or used to create derivative works without prior written consent from BLACKAG INC. Meeting Recordings, Screenshots, and Media

BLACKAG INC. may record Zoom calls, meetings, trainings, and events for documentation, training, promotional, archival, educational, or organizational purposes.

By participating, attendees acknowledge that their name, image, voice, chat comments, likeness, and participation may appear in recordings or screenshots.

Participants may not independently record, screenshot, livestream, redistribute, or republish any BLACKAG Zoom call without written permission.

Participants who do not wish to appear on camera may keep their cameras off and may identify themselves in chat according to meeting instructions.

BLACKAG INC. maintains official databases for communication, outreach, event planning, training, program tracking, and participant support. Participants agree that information collected during BLACKAG calls or events may be used by BLACKAG INC. for official organizational purposes. No participant, ambassador, volunteer, speaker, or third party may copy, export, scrape, photograph, download, sell, transfer, or use BLACKAG participant information for unauthorized purposes. Participants may not use BLACKAG contact lists to:

Build a competing database. Promote outside services without approval. Solicit donations or sponsorships.

Recruit participants to another organization. Sell products or services. Send mass emails or text messages.

Create unauthorized regional groups or events. All attendees should be directed to join the official BLACKAG database for official communications and opportunities. Non-Compete and Non-Solicitation Clause

To protect BLACKAG INC.’s mission, programming, relationships, intellectual property, participant network, and organizational goodwill, participants, ambassadors, presenters, volunteers, contractors, and affiliates agree that they will not use access gained through BLACKAG INC. to create, promote, organize, or support a competing program, event, organization, database, training, or initiative that substantially duplicates or competes with BLACKAG INC.’s programs, services, events, trainings, ambassador systems, summit activities, or agriculture outreach models.

This clause is intended to protect BLACKAG INC.’s legitimate business interests, confidential information, intellectual property, goodwill, and participant relationships. It is not intended to prevent lawful employment, general agricultural work, farming, education, community service, or independent business activity that does not misuse BLACKAG confidential information, intellectual property, contacts, or goodwill.

Participation in BLACKAG INC. Zoom calls or programs does not guarantee:

  • USDA funding.

  • NRCS approval.

  • FSA registration.

  • Grant awards.

  • Sponsorship.

  • Speaking opportunities.

  • Vendor opportunities.

  • Employment.

  • Contracts.

  • Business income.

  • Event participation.

  • Ambassador status.

  • Public promotion.

  • Membership approval.

BLACKAG INC. provides education, outreach, networking, and organizational programming. Participants are responsible for completing their own applications, registrations, business steps, and compliance requirements.

17. USDA, Grant, Legal, Financial, and Tax Disclaimer

Information shared during BLACKAG INC. calls may include general education about farming, USDA, FSA, NRCS, grants, agribusiness, conservation, sponsorships, and business development.

Such information is for educational purposes only and should not be considered legal, tax, financial, grant, USDA, or professional advice.

Participants should consult the appropriate professionals or official agencies for guidance, including but not limited to:

  • USDA Service Centers.

  • FSA offices.

  • NRCS offices.

  • Cooperative Extension.

  • Attorneys.

  • Tax professionals.

  • Financial advisors.

  • Grant professionals.

  • State agencies.

  • Local government offices.

18. Community Standards

BLACKAG INC. is committed to creating a respectful, culturally affirming, professional, and empowering environment.

Participants agree to support a culture of:

  • Respect.

  • Collaboration.

  • Integrity.

  • Accountability.

  • Professionalism.

  • Accuracy.

  • Confidentiality.

  • Mutual support.

  • Responsible communication.

  • Mission alignment.

BLACKAG INC. reserves the right to remove participants whose conduct is harmful, disruptive, disrespectful, dishonest, exploitative, or inconsistent with the organization’s mission.

19. Removal or Suspension

BLACKAG INC. may remove, suspend, or restrict a participant from Zoom calls, programs, events, databases, ambassador roles, volunteer opportunities, or communications if the participant violates this agreement or acts contrary to BLACKAG INC.’s interests.

Grounds for removal may include:

  • Unauthorized promotion.

  • Misuse of the BLACKAG name.

  • Misuse of participant information.

  • Harassment or disrespectful conduct.

  • Unauthorized recording or distribution of content.

  • Copyright infringement.

  • Confidentiality breach.

  • Soliciting participants for competing programs.

  • False representation of authority.

  • Disruptive behavior.

  • Failure to follow policies or instructions.

  • Conduct that may damage BLACKAG INC.’s reputation.

Reporting Violations

Participants should report suspected violations of this agreement to BLACKAG INC. leadership.

Reports may include:

  • Unauthorized promotions.

  • Misuse of logos or materials.

  • Solicitation of participants.

  • Confidentiality breaches.

  • Harassment or misconduct.

  • False claims of authority.

  • Copyright violations.

  • Misuse of databases or participant information.

BLACKAG INC. may investigate and take appropriate action.

Modification of Terms

BLACKAG INC. may update or modify these Terms of Service at any time. Continued participation in BLACKAG INC. calls, programs, meetings, or events after updates are issued constitutes acceptance of the revised terms.

Severability

If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Any unenforceable provision may be modified to the extent necessary to make it enforceable while preserving its intended purpose.

Governing Law

This agreement shall be governed by the laws of the State of [Insert State], unless otherwise required by applicable law.
